Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Digiterex website and services. By engaging our services or accessing our website, you agree to be bound by these Terms. Please read them carefully.
If you do not agree to these Terms, you must not use our website or engage our services.
Our Services
Digiterex provides digital services including but not limited to: AI chatbot development, workflow automation, web development, web optimization, API integrations, and AI analytics. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate proposal or contract agreed upon between Digiterex and the client prior to commencement of work.
We reserve the right to refuse service to any individual or organization at our discretion, including but not limited to cases involving illegal activities, harmful content, or violations of these Terms.
Your Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information required for project delivery.
- Designate a primary point of contact who has authority to approve decisions.
- Respond to requests for feedback, approvals, or clarification within 5 business days.
- Ensure that any content, data, or materials you provide do not infringe on third-party intellectual property rights.
- Use our deliverables only for lawful purposes in compliance with applicable laws and regulations.
Delays caused by client inaction may affect project timelines. Digiterex is not liable for delays attributable to the client's failure to meet obligations.
Payments
Payment terms are defined in the individual project proposal. Standard terms are:
- 50% upfront before work begins, and 50% upon project completion.
- For larger projects, a milestone-based payment schedule may be agreed upon.
- Invoices are due within 7 calendar days of issuance.
- Late payments may incur a 1.5% monthly late fee.
- Work may be paused or withheld on projects with overdue payments.
All prices are quoted in USD unless otherwise stated. Digiterex is not responsible for currency conversion fees or banking charges incurred by the client.
Ownership of Work
Upon receipt of full payment, the client receives full ownership of all custom deliverables created specifically for their project, including source code, design assets, and documentation.
Digiterex retains ownership of:
- Pre-existing tools, frameworks, libraries, and methodologies used in delivering the project.
- Internal processes, templates, and general-purpose code components not created exclusively for the client.
- The right to showcase the project in our portfolio unless the client requests confidentiality in writing.
Any third-party tools, APIs, or open-source software incorporated into your project remain subject to their respective licenses.
Confidential Information
Both parties agree to keep confidential any proprietary information shared during the course of the project. Digiterex will not disclose your business data, project details, or trade secrets to third parties without your explicit written consent, except as required by law.
Upon request, we are happy to sign a mutual Non-Disclosure Agreement (NDA) before the project begins.
Delivery & Revisions
Project timelines are agreed upon in the proposal. Digiterex will make every reasonable effort to meet agreed deadlines. Timeline adjustments may occur due to:
- Scope changes requested by the client after project commencement.
- Delayed feedback or approvals from the client side.
- Force majeure events outside our control.
Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions outside this scope will be quoted separately. Revisions are defined as changes within the originally agreed scope — not new features or significant changes to direction.
Liability Limits
To the maximum extent permitted by law, Digiterex's total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
Digiterex is not liable for:
- Indirect, incidental, or consequential losses (e.g., lost profits, lost data, business interruption).
- Losses caused by third-party tools, APIs, or platforms we integrate with.
- Security breaches caused by factors outside our direct control.
- Actions taken based on AI-generated outputs that were not reviewed by a qualified professional.
Ending the Engagement
Either party may terminate a project engagement with 14 days' written notice. Upon termination:
- The client is responsible for payment of all work completed up to the termination date.
- Digiterex will deliver all completed work and any work-in-progress files upon receipt of outstanding payment.
- Non-refundable upfront deposits will not be returned unless termination is caused by a material breach by Digiterex.
Digiterex reserves the right to terminate immediately if the client violates these Terms, engages in abusive behaviour, or requests work that is unlawful.
Warranties
Digiterex warrants that all work will be performed in a professional manner consistent with industry standards. We guarantee a 30-day bug-fix period post-delivery for any defects in our deliverables that existed at the time of handover.
We do not warrant:
- Specific business outcomes, revenue increases, or ROI targets (though we aim for all of these).
- Uninterrupted or error-free operation of third-party services or APIs we may integrate.
- That AI-generated outputs will be 100% accurate or free from bias.
Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Morocco.
For international clients, we are committed to resolving disputes amicably and in good faith before any legal escalation.
Updates
We may revise these Terms at any time. The most current version will always be available on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes your acceptance of the revised Terms.
For active projects, material changes to these Terms will be communicated to relevant clients directly via email.
